Terms of Service

These Terms of Service govern your use of the Versio Cloud service, a hosted CV management platform operated by Nicolas Dinh, Genève, Switzerland.

§ Section

1. Scope and Definitions

By creating an account or using the Service, you agree to these Terms. These Terms apply exclusively to the Versio Cloud service (hosted SaaS). The source-available Versio Community Edition is governed by its own license (BSL 1.1).

Versio serves three use cases: (i) individual professionals managing their own CV, (ii) consulting / professional-services firms managing CVs of their own employees and consultants to prepare client proposals, and (iii) recruitment agencies managing CVs of external candidates they represent to third-party employers.

  • “Customer” — the entity (or individual) that registers for the Service and accepts these Terms.
  • “Individual User” — a natural person using the Service to manage their own personal CV.
  • “Business Customer” — an organisation that uses the Service to manage CVs of its own employees, consultants, or represented candidates.
  • “Recruitment Customer” — a Business Customer engaged in the recruitment or representation of external candidates to third-party employers or clients.
  • “Authorized User” — a natural person authorized by a Business Customer or Recruitment Customer to access the Service under the Customer’s account.
  • “Candidate Data” — personal data relating to consultants, employees, contractors, or external candidates uploaded into the Service by a Business Customer or Recruitment Customer.
  • “Content” — all data entered into the Service by Authorized Users, including Candidate Data, master profiles, work history, education, skills, certifications, publications, CV versions, uploaded photos, and exported documents.
  • “AI Features” — functionality powered by third-party AI models, including CV import with AI structuring, AI-generated CV versions, quality analysis, summary rewriting, ATS checking, candidate matching, and multi-language translation.
  • “DPA” — the Data Processing Agreement available at /dpa, incorporated into these Terms by reference.

Roles.

  • For an Individual User, Versio is the data controller of the user’s own profile and account data.
  • For a Business Customer or Recruitment Customer, the Customer is the controller of Candidate Data and Versio is the processor. For account, authentication, and billing data of Authorized Users, Versio acts as a separate controller.

2. Service Description

Versio is a professional CV management tool. Customers create master profiles containing professional experience, then generate tailored CV versions by selecting which items to include. Versions can be exported as PDF or Word documents.

The Service includes:

  • Master profile management (experience, education, skills, certifications, publications, languages)
  • CV version creation with toggle-based content selection
  • PDF and Word document export with customizable templates
  • AI-powered features (subject to plan and availability)
  • Team management features (on applicable plans)

2.1 Beta Service

The Service is currently in a beta / early access phase and is provided free of charge during this period. By using the Service during the beta period, you acknowledge and agree to the following:

  • The Service may contain bugs, incomplete features, or undergo significant changes without notice.
  • These Terms, the Privacy Policy, and the Service itself (including features, pricing, and availability) may change with 7 days’ notice during the beta period, instead of the standard 30-day notice in Section 14.
  • We will notify you of changes by email or through the Service at least 7 days before they take effect.
  • The beta period ends when we publicly announce general availability (“GA”). After GA, the standard 30-day notice period applies.
  • By continuing to use the Service during the beta period, you accept any updated Terms or Privacy Policy as they are posted.

3. Account Registration and Organization

3.1 Registration

To use the Service, you must create an account with a valid email address. You are responsible for the accuracy of registration information and the security of your credentials.

3.2 Organization Accounts

Each account belongs to an Organization. On Individual plans, the registering user is the sole member. On Team plans, an administrator invites and manages team members. The administrator is responsible for all activity within the Organization.

3.3 Account Security

You must keep your login credentials confidential and enable two-factor authentication where available. You are responsible for all activity under your account. Notify us immediately at contact@versio-cv.com if you suspect unauthorized access.

4. Plans, Pricing, and Payment

4.1 Plans

The Service is offered under paid subscription plans. Current plan details, features, and pricing are published on our website. We may modify plan features and pricing with 30 days’ notice.

4.2 Free Trial

New customers receive a 14-day free trial with full access to the Service. Invite codes may extend the trial to 30 days. No payment information is required during the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.3 Billing

Subscriptions are billed monthly or annually in advance. Payment is processed via Stripe. We store only a payment reference identifier — your payment details are handled entirely by Stripe under their own terms.

4.4 Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.

4.5 Non-Payment

If payment fails, we will attempt to notify you. If payment is not received within 14 days, we may suspend access. If payment is not received within 30 days of suspension, we may delete the account and all associated data.

5. Content Ownership and Intellectual Property

5.1 Your Content

The Customer retains all rights to its Content. We do not claim ownership of any data entered into the Service. By using the Service, the Customer grants us a limited license to process, store, and display its Content solely for the purpose of providing the Service.

Candidate Data warranty. Where Authorized Users upload Candidate Data, the Customer warrants and represents that it has:

  • A valid lawful basis under GDPR Art. 6 (and Art. 9 where applicable) to process that Candidate Data;
  • Provided all required notices to the data subjects under GDPR Art. 13/14, including informing them that AI is used in screening and matching where applicable (EU AI Act Art. 26);
  • Authority to instruct Versio to process the Candidate Data in accordance with these Terms and the DPA.

The Customer indemnifies Versio against any third-party claim, regulatory fine, or loss arising from the Customer’s breach of this warranty.

5.2 AI-Generated Outputs

When you use AI Features, the outputs (such as rewritten summaries, generated CV versions, or analysis results) are your property. You are responsible for reviewing, verifying, and approving all AI-generated content before use.

5.3 Our Intellectual Property

The Service — including its design, code, templates, branding, and documentation — is owned by Nicolas Dinh and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as described here.

5.4 Feedback

If you provide us with suggestions, ideas, or feedback about the Service, we may use them without obligation or compensation to you.

6. Artificial Intelligence Features

6.1 Third-Party AI Providers

AI Features are powered by third-party AI model providers. As of the effective date of these Terms, we use Anthropic (Claude API) for AI processing. We may change providers at any time without notice, provided the same or equivalent data protection standards are maintained.

6.2 How Your Data Is Processed

When you use an AI Feature, relevant Content is sent to the AI provider for processing:

  • What is sent: Text content necessary to perform the AI operation — names, job titles, work history, skills, and education details.
  • What is not sent: Profile photos, uploaded files (other than CV text for import), payment information, or account credentials.

6.3 AI Provider Data Handling

Our current AI provider (Anthropic) operates under their Commercial Terms:

  • No training on your data. Customer content submitted via the API is not used to train AI models.
  • Limited retention. Inputs and outputs are retained for up to 30 days for trust and safety, then deleted.
  • Data processing location. Data is processed in the United States. Transfers from Switzerland are governed by Standard Contractual Clauses via Anthropic Ireland Limited.

We maintain Data Processing Agreements with our AI providers. A current list of sub-processors is available upon request.

6.4 AI Limitations and Disclaimers

AI-generated content may be inaccurate, incomplete, biased, or inappropriate. AI Features are assistive tools — they do not replace human judgment.

Customers must not rely on AI-generated content for automated decision-making, including but not limited to employment, hiring, or recruitment decisions, without qualified human review.

6.5 Candidate Matcher — use cases and AI Act classification

The Matcher is available only to Business Customers and Recruitment Customers; it is not made available to Individual Users. It scores and ranks profiles within the Customer’s pool against a job description or opportunity. Its AI Act classification depends on the use case:

  • Business Customer (consulting / professional services) — the Customer manages its own employees’ or consultants’ profiles and uses the Matcher to prepare a client proposal. To the extent that Matcher output is used to allocate work to employees based on individual traits or skills, this may fall within Annex III §4(b) of the EU AI Act (work allocation). The Customer is then the deployer of a high-risk AI system.
  • Recruitment Customer — the Customer manages a pool of external candidates and uses the Matcher to decide which candidates to present to a third-party employer or client. This use falls within Annex III §4(a) of the EU AI Act (recruitment and selection of natural persons). The Customer is the deployer of a high-risk AI system and assumes the corresponding obligations under the EU AI Act.

Versio (provider) undertakes to:

  • Log every Matcher run (job description, candidate IDs, model used, scores, rationale, timestamp) and retain logs for the duration of the Customer’s account.
  • Document the scoring rubric, model identity, and known limitations.
  • Design the Service for human-in-the-loop use — the Service does not auto-shortlist, auto-reject, or auto-contact candidates.
  • Maintain a risk-management and post-market-monitoring process; accept incident reports at ai-incidents@versio-cv.com.

Customer (deployer) is responsible for:

  • Performing meaningful human review of every Matcher result before any decision affecting an employee, consultant, or external candidate.
  • Where required (GDPR Art. 13/14, EU AI Act Art. 26), informing the data subject that AI is used in screening, matching, or allocation.
  • Not using Matcher output as the sole basis for any decision producing legal or similarly significant effects on a natural person (GDPR Art. 22).
  • Retaining controller status for all Candidate Data processed through the Matcher.

Match scores are probabilistic estimates based on profile text and may reflect biases inherent to the underlying models. Versio is not a substitute for qualified recruitment, staffing, or proposal-preparation judgment.

6.6 Opting Out of AI

Customers are not required to use AI Features. Core functionality works without AI. If AI Features are not invoked, no Content is sent to AI providers.

7. Data Protection and Privacy

7.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Location

  • Application database: Hosted in Switzerland (Infomaniak, Geneva). Your Content is stored exclusively on Swiss infrastructure.
  • AI processing: When AI Features are used, relevant Content is transmitted to the AI provider (currently in the United States — see Section 6.3).
  • Payment processing: Handled by Stripe (US-based, with EU/Swiss data handling under their own DPA).

7.3 Legal Framework

Processing of personal data is governed by the Swiss Federal Act on Data Protection (FADP) and, where applicable to EU-based users, the GDPR.

7.4 Your Data Rights

You have the right to:

  • Access your data at any time through the Service or by requesting a data export.
  • Rectify your data by editing it directly in the Service.
  • Delete your data by deleting your account (deletion within 30 days).
  • Export your data in a structured, machine-readable format.

7.5 Data Retention

  • Active accounts: Content retained for as long as the account is active.
  • Deletion requests: You may request account deletion through your settings. Deletion takes effect 30 days after the request. You may cancel during this period by logging in. After 30 days, all Content is permanently deleted.
  • Cancelled subscriptions: Account becomes read-only. Content retained 30 days after the billing period, then deleted.
  • Inactive accounts: Cancelled or expired accounts with no login for 12 months receive an email reminder. If no login within 30 days, the account and Content are permanently deleted. Active subscriptions are not affected.
  • Failed payments: See Section 4.5.
  • Consent records: Retained for the statute of limitations period (up to 10 years under Swiss Code of Obligations Art. 127) after account deletion, with the user identifier pseudonymised, in order to demonstrate consent under GDPR Art. 7.
  • Matcher run logs: Retained for the duration of the Customer’s account for audit purposes (EU AI Act traceability). Customers may delete individual runs at any time.

7.6 Data Processing Agreement

For Candidate Data and any other personal data uploaded by Authorized Users, Versio acts as a processor and the Customer as controller. The processing terms are set out in the Data Processing Agreement (DPA), which is incorporated into these Terms by reference. By accepting these Terms, the Customer accepts the DPA.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Upload content that infringes on third-party intellectual property rights.
  • Upload content that is defamatory, discriminatory, or contains hate speech.
  • Impersonate another person or create profiles without their knowledge and consent.
  • Attempt to access accounts, data, or systems that do not belong to you.
  • Reverse-engineer, decompile, or extract the source code of the Service.
  • Use the Service to develop a competing product.
  • Use automated means (bots, scrapers) to access the Service without our written permission.
  • Deliberately overload or disrupt the Service.
  • Circumvent usage limits, plan restrictions, or security controls.

We may suspend or terminate accounts that violate these terms without notice.

§ Section

9. Service Availability and Support

9.1 Availability

We aim to provide reliable access but do not guarantee uninterrupted availability. The Service is provided on a best-effort basis. We may perform scheduled maintenance with reasonable advance notice.

9.2 Modifications

We may modify, update, or discontinue features at any time. For material changes that reduce plan functionality, we will provide 30 days’ notice.

9.3 Support

Support is provided via email at contact@versio-cv.com. We do not guarantee specific response times.

10. Limitation of Liability

10.1 Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or secure, that AI-generated content will be accurate, or that exported documents will render identically across all software and devices.

10.2 Limitation of Damages

Nicolas Dinh’s total liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for loss of data (beyond our backup obligations), loss of profits, indirect or consequential damages, damages from AI-generated content, or damages from third-party services.

10.3 Exceptions

Nothing in these Terms excludes liability for fraud, intentional misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded under Swiss law.

§ Section

11. Indemnification

The Customer agrees to indemnify Nicolas Dinh and Versio from claims, regulatory fines, or losses arising from:

  • The Customer’s or its Authorized Users’ use of the Service in violation of these Terms;
  • Content uploaded by the Customer, including breach of the Candidate Data warranty in Section 5.1;
  • The Customer’s use or distribution of AI-generated content, including any employment or recruitment decision taken on the basis of AI Feature output;
  • The Customer’s failure to comply with its obligations as controller (GDPR / FADP) or as deployer (EU AI Act) in connection with the Service;
  • Any violation of applicable law by the Customer.

§ Section

12. Termination

12.1 Subscription Cancellation

You may cancel your subscription at any time. Your account becomes read-only at the end of the current billing period. You retain access to view and export your data.

12.2 Account Deletion

You may request deletion of your account through your settings. Account deletion is subject to a 30-day grace period. During this period, you may cancel the deletion by logging in and choosing to continue. If you log in during the grace period, you will be informed of the pending deletion and given the option to cancel it. After 30 days, your account and all Content are permanently and irreversibly deleted.

12.3 Inactive Account Cleanup

Cancelled or expired accounts with no login activity for 12 months will receive an email notification. If no login occurs within 30 days of the notification, the account and all Content will be permanently deleted. Active subscriptions are not subject to inactivity cleanup.

12.4 By Us

We may suspend or terminate access immediately for breach of these Terms, or with 30 days’ notice for any other reason.

12.5 Effect of Termination

You may export your data for 30 days after termination. After this period, all Content is permanently deleted. Sections 5, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of Switzerland, excluding conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods. Disputes are subject to the exclusive jurisdiction of the courts of Genève, Switzerland.

14. Changes to These Terms

We will notify you of material changes at least 30 days before they take effect. During the beta period described in Section 2.1, changes require only 7 days’ notice. Your continued use after the effective date constitutes acceptance. If you disagree, you must cancel before the changes take effect.

15. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nicolas Dinh regarding the Service. If any provision is unenforceable, the rest remain in effect. You may not assign your rights without our consent. Our failure to enforce a provision does not waive it. These Terms are drafted in English; the English version prevails over any translation.
